In order to strengthen the protection of minority interests and other interest bearers by acting against any abuses that may arise from related party transactions, where there is a potential conflict of interest, in compliance with Regulations adopted by CONSOB in Resolution No. 17221 of 12 March 2010 and subsequently amended, the Company has adopted the Procedures regulating related party transactions.
The key points of these procedures are:
- the strengthening of the role of independent directors at all stages of the decisional process for related party transactions;
- the transparency regime;
- mandatory disclosures to Supervisory Authorities e to the public
- clear identification of not relevant operations according to the nature of the operation and their economic amount, adopting for this purpose the limit amount of Euro 100,000.00.
